CRATEMIX STUDIO SOFTWARE LICENSE AGREEMENT
Version 2026-10-28.1 | Effective October 28, 2026
1. Licensor and acceptance
This agreement is between you and GRENARC LLC, Virginia, United States. CrateMix Studio is the product name. Legal notices: contact@grenarc.com. Support: contact@cratemixstudio.com.
Actively accept this agreement before account creation or licensed software use. If you act for an organization, you must have authority to do so. The Terms of Service also govern account, delivery, licensing, and hosted functions. The Privacy Notice explains data handling; accepting a software license does not grant optional feedback or training permission.
2. License to original proprietary software
Subject to your applicable license grant, this agreement, and mandatory law, GRENARC grants you a limited, non-exclusive right to install and run the original proprietary portions of the supplied CrateMix Studio build for your authorized personal or business work. Commercial creation of your own materials and assets is permitted unless your particular grant expressly states a lawful restriction before you accept it.
This is a license rather than a sale of intellectual-property ownership. Duration, authorized users or seats, and any additional scope are stated in your grant or order. An account alone does not grant a license. Hosted features, approved downloads, updates, and activation may require a verified and approved account, an active entitlement, supported-region access, and agreement to current applicable terms.
3. Open-source and historical rights
Third-party open-source software and separately licensed assets are identified in the supplied notices and asset records. Their own licenses govern those components and take precedence over any conflicting restriction here. Keep the required notices when exercising those rights.
Nothing in this agreement withdraws rights validly granted under an earlier MIT or other license, changes a public-domain dedication, or restricts activity that mandatory law permits. GRENARC claims ownership only of rights it actually holds. Existing copies obtained under a different valid license remain governed by that license. Original proprietary changes and new distributions may be offered under this agreement without revoking earlier grants.
4. Permitted work and your ownership
You retain the rights you hold in imported content and work you create. GRENARC does not claim ownership of your models, materials, texture exports, or project files merely because the software processes them. You may use and distribute your outputs subject to the rights of their underlying content. A software license is not a guarantee that an AI output or third-party asset is unique, copyrightable, or free from another person's rights.
5. Restrictions with lawful exceptions
Except where a separate component license, written authorization, or mandatory law allows it, do not distribute or sell the proprietary application or its source, sublicense it, share activation credentials, remove proprietary notices, bypass account or license controls, or provide unauthorized access as a hosted service. Do not reconstruct proprietary source or defeat technical restrictions except to the extent the law grants you that right. These restrictions do not prohibit authorized MCP integrations, your own exported work, lawful interoperability, or rights granted by open-source licenses.
Do not use the software to infringe rights, introduce malware, access another person's systems without permission, or evade supported-region restrictions. You remain responsible for obtaining permission to use and share imported or generated content.
6. Local operation, external services, and data choices
Material work is processed locally unless you deliberately use an external integration or submission workflow. Connected AI services, asset providers, engine integrations, and other third parties may have separate terms and privacy practices. Review the permissions you give them. You control what you choose to send.
Account acceptance, a preselected preference, or installing an update does not authorize automatic project uploads or AI training. Feedback sharing and contribution for training require separate, specific confirmation. Individual contributions also require explicit approval. Withdrawing an optional permission does not, by itself, cancel ordinary licensed use.
7. Updates and preservation of work
The app may make a small periodic check for a newer published update. Available updates require a user prompt before download or installation as described in the app. Installation verifies the signed package and applicable entitlement. Save your work and finish or cancel active jobs before an installation and restart. Keep independent backups; a recovery or rollback mechanism is not a substitute for them.
GRENARC may fix defects or change features, but does not promise every future feature or indefinite compatibility with third-party formats, services, or operating systems. Beta features are experimental. Any separately agreed paid support or update commitment remains subject to its terms and mandatory rights.
8. Term and termination
The license continues for the duration of the applicable grant unless lawfully ended earlier. A material breach, fraud, security threat, or legal requirement may justify suspension or termination, with notice and an opportunity to correct a remediable breach where practical and safe. You may seek review through support. On termination, stop use of portions for which you no longer hold a license, while retaining your own work and rights granted separately. Optional privacy refusals are not grounds for punitive termination.
9. Warranties and liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BETA AND EXPERIMENTAL SOFTWARE IS SUPPLIED AS IS AND AS AVAILABLE, WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not promise error-free operation, uninterrupted access, or suitability for a particular production workflow. Verify important exports and maintain backups.
To the extent lawful, GRENARC excludes indirect, incidental, special, exemplary, and consequential loss and loss of anticipated profit, revenue, business opportunity, or goodwill. To that same extent, aggregate liability for the relevant software or service is limited to the greater of USD 100 or the amount paid to GRENARC for it in the twelve months preceding the event giving rise to the claim.
These limits do not exclude liability where prohibited, including fraud, intentional misconduct, gross negligence where it cannot be limited, death or personal injury where liability cannot be excluded, mandatory data-protection liability, or non-waivable consumer rights. Any express written commitment or remedy required by law remains effective. No blanket immunity from liability is created.
10. General provisions
Virginia law governs to the extent permitted, without removing mandatory protections or remedies available under the law of a consumer's habitual residence. Courts in Virginia with proper jurisdiction may hear disputes, subject to mandatory venue rights. No mandatory arbitration or non-waivable class-action waiver is imposed. If one provision is unenforceable, the remainder applies where legally possible.
We will identify material revisions and seek renewed acceptance when needed. Revised terms do not retroactively grant a new right to use your data for training. Contact contact@grenarc.com for legal questions or contact@cratemixstudio.com for product support.
